TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of proximaresidencies.com and any related webpages, application forms, content, and online services operated by JCH Group, LLC, operating as Proxima Residencies (“Proxima,” “we,” “us,” or “our”), collectively referred to as the “Site.”
By accessing or using the Site, submitting an application, or completing a transaction through the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
1. About Proxima
Proxima organizes curated residencies and related experiences that bring selected guests into conversation with professional artists and other participants.
Access to a Proxima residency is application-based. Residencies are not available for unrestricted public purchase. Submitting an application does not guarantee acceptance, availability, or participation.
2. Eligibility and Age Requirements
You must be legally capable of agreeing to these Terms to submit an adult residency application or complete a booking.
Age requirements may vary by residency and will be disclosed on the applicable residency page or application.
If a residency is designed for participants under 18:
- the application must be submitted by the prospective participant’s parent or legal guardian;
- the parent or guardian must provide any required permissions and agreements;
- the parent or guardian is responsible for the accuracy of information submitted about the minor; and
- additional youth-participation terms, consent forms, releases, or eligibility requirements may apply.
Minors may not independently submit applications, complete bookings, or make payments through the Site.
3. Residency Applications
Applications must be complete, accurate, and submitted by the individual seeking admission or, for a youth residency, by the individual’s parent or legal guardian.
You agree not to:
- impersonate another person;
- submit an application on another adult’s behalf without authorization;
- provide materially false or misleading information;
- interfere with the application or selection process; or
- attempt to obtain access to a private booking without acceptance.
Proxima may request additional information or clarification when reviewing an application.
Application decisions are made according to the nature, goals, eligibility requirements, capacity, and lawful selection considerations of each residency. Proxima may accept, decline, waitlist, or request additional information from an applicant.
An application, invitation, or acceptance is personal to the applicant and may not be sold, assigned, transferred, or offered to another person.
4. Acceptance and Private Booking
If an applicant is accepted, Proxima may provide private booking instructions, payment access, deadlines, and additional terms.
Acceptance does not create a confirmed reservation until:
- all required information and agreements have been received;
- any stated deposit or payment has been successfully processed; and
- Proxima has issued a booking confirmation.
Private booking links, access codes, invitations, and acceptance communications are intended only for the accepted applicant or the responsible parent or guardian. They may not be shared, published, transferred, or used to make a booking for another person.
Proxima may cancel or decline an attempted booking made through unauthorized, transferred, fraudulent, or publicly distributed access.
5. Additional Residency Agreements
Participation in a residency may be governed by additional terms provided during the acceptance and booking process, including:
- payment and cancellation terms;
- refund or credit policies;
- participant conduct requirements;
- lodging and transportation terms;
- health and safety requirements;
- alcohol-related rules;
- emergency and medical provisions;
- accessibility arrangements;
- photography or media releases;
- assumption-of-risk provisions; and
- other residency-specific requirements.
You must review and agree to all applicable residency documents before participation.
If these Website Terms conflict with a signed or affirmatively accepted residency-specific agreement, the residency-specific agreement controls with respect to that residency.
6. Prices, Payments, and Included Services
Residency prices, deposits, payment schedules, and included services will be disclosed during the application, acceptance, or booking process.
Before payment is requested, Proxima will identify the applicable price and any material mandatory charges known at that time. Government-imposed taxes or charges and optional services may be stated separately where permitted by law.
Unless expressly stated otherwise, an advertised price should not be assumed to include:
- personal travel to or from the residency;
- passports, visas, or travel documentation;
- travel insurance;
- personal purchases;
- medical expenses;
- optional activities or upgrades; or
- services not specifically identified as included.
The specific inclusions and exclusions for each residency will be provided in the applicable residency materials.
Payments may be processed through Shopify or another payment provider. Your use of those payment services may also be governed by the provider’s terms and privacy policy.
7. Residency Information and Changes
We aim to describe each residency accurately. However, artists, speakers, venues, accommodations, activities, schedules, transportation arrangements, menus, and other details may occasionally change because of availability, safety, weather, travel disruption, illness, events outside our control, or other operational needs.
Proxima will provide notice of material changes when reasonably practical. The consequences of a cancellation, postponement, substitution, or material program change will be governed by the applicable residency agreement and cancellation policy.
Website photographs, illustrations, schedules, descriptions, and examples are provided to communicate the anticipated character of an experience. They do not guarantee that every element depicted or described will be provided unless expressly included in the applicable booking documents.
8. Intellectual Property
The Site and its contents—including the Proxima name, logos, star designs, graphics, animations, photographs, videos, audio, text, page layouts, software, and other materials—are owned by or licensed to JCH Group, LLC and are protected by intellectual-property laws.
Subject to these Terms, Proxima grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your personal, noncommercial use.
You may not, without prior written permission:
- copy, reproduce, republish, distribute, sell, or commercially exploit Site content;
- modify, translate, reverse engineer, or create derivative works from the Site;
- remove copyright, trademark, or ownership notices;
- use Proxima’s name, logo, imagery, or materials to imply sponsorship or affiliation;
- use Site content to train, develop, or operate an artificial-intelligence or machine-learning system;
- scrape, harvest, or systematically extract Site content or data; or
- frame or mirror material from the Site on another website or service.
Nothing in these Terms transfers ownership of Proxima’s intellectual property to you.
9. Information and Materials You Submit
You retain ownership of original material you submit through an application, inquiry, or other communication.
By submitting material to Proxima, you grant us a limited, nonexclusive license to access, store, reproduce, and internally share that material only as reasonably necessary to:
- review and administer your application;
- communicate with you;
- arrange or provide a residency;
- maintain appropriate business records;
- protect safety and security; and
- comply with legal obligations.
Submitting application material does not give Proxima permission to use your name, likeness, writing, artwork, photographs, or other creative work for public marketing. Any such public use will require separate permission where appropriate.
You represent that you have the right to submit the information and materials you provide and that doing so does not infringe another person’s rights.
10. Acceptable Use
You may not use the Site to:
- violate any law or regulation;
- infringe another person’s intellectual-property, privacy, publicity, or contractual rights;
- transmit malicious code or interfere with Site security;
- gain unauthorized access to an account, application, booking, or system;
- collect information about other users;
- send unsolicited or deceptive communications;
- harass, threaten, exploit, or harm another person;
- test or circumvent Site security without authorization;
- use automated systems to access the Site in a manner that places an unreasonable burden on it; or
- assist another person in engaging in prohibited conduct.
We may restrict or terminate access when we reasonably believe the Site is being misused.
11. Third-Party Services and Links
The Site may contain links to, or integrations with, services operated by third parties, including Shopify, payment processors, form providers, social-media platforms, venues, lodging providers, and other residency partners.
Proxima does not control every third-party service and is not responsible for its independent content, availability, security, or privacy practices. Your use of a third-party service may be subject to that provider’s own terms.
12. Privacy
Our collection and use of personal information are described in our Privacy Policy, available at:

Youth-residency information must be submitted by a parent or legal guardian as described in the Privacy Policy.
13. Site Availability
We may modify, suspend, withdraw, or restrict all or part of the Site for maintenance, security, operational, or other reasons.
We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free. We are not responsible for delays or failures caused by internet providers, devices, browsers, third-party services, or events outside our reasonable control.
14. Disclaimers
The Site is provided on an “as is” and “as available” basis to the fullest extent permitted by law.
To the fullest extent permitted by law, Proxima disclaims implied warranties concerning the Site, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
The Site provides general information about Proxima and its residencies. Site content is not medical, legal, financial, travel, safety, or other professional advice.
15. Limitation of Liability
To the fullest extent permitted by law, JCH Group, LLC and its members, employees, contractors, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to:
- access to or use of the Site;
- inability to access the Site;
- unauthorized access to Site data;
- reliance on general Site content; or
- third-party links or services.
These limitations apply only to claims connected with the Site itself. Residency participation, cancellations, payments, personal injury, property, travel, and other program-related matters will be governed by the applicable residency agreement and applicable law.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
16. Responsibility for Misuse
To the fullest extent permitted by law, you agree to be responsible for losses, claims, or expenses incurred by Proxima as a direct result of your unlawful use of the Site, material violation of these Terms, or infringement of another person’s rights.
This section does not require a consumer to indemnify Proxima for Proxima’s own unlawful conduct, negligence, or breach of its obligations.
17. Governing Law and Venue
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, disputes arising solely from these Terms or use of the Site will be brought in a court of competent jurisdiction serving Douglas County, Colorado.
Nothing in this section prevents either party from seeking appropriate relief in small-claims court or from exercising a consumer right that cannot lawfully be waived.
18. Changes to These Terms
We may update these Terms to reflect changes in the Site, our services, business practices, or legal obligations.
Updated Terms will be posted on this page with a revised “Last updated” date. Changes apply prospectively from the date they are posted unless a different effective date is stated.
Material changes to an already confirmed residency will be handled under the applicable residency agreement rather than solely through an update to these Website Terms.
19. Severability and No Waiver
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
A failure by Proxima to enforce a provision does not waive our right to enforce it later.
